Classes of Stock

The Company has two classes of common stock. Class A Common Stock (one vote per share) is listed on the New York Stock Exchange. Class B Common Stock (ten votes per share) is not listed and is held principally by the Cardwell Family Trust. Holders of Class B Common Stock, voting as a class, elect three of the nine members of the Board of Directors. Class B shares convert to Class A shares on a one-for-one basis upon transfer outside the Cardwell family, subject to certain exceptions.

Dividend Reinvestment

The Company does not sponsor a dividend reinvestment plan. The transfer agent offers a plan independently of the Company; please contact the transfer agent for information.

1989 Reorganization and Pre-1989 Securities

On March 22, 1989, Perttula Consolidated Industries, Inc. ("PCI") emerged from proceedings under Chapter 11 of the United States Bankruptcy Code as Isla Perttula Corporation. Under the plan of reorganization, holders of PCI common stock received warrants to purchase Class A Common Stock, which expired unexercised on March 22, 1994. Certificates for PCI common stock, and for stock of the Isla Perttula Sulphur Company, have no value as securities of the Company. The Company is unable to assist with the valuation of such certificates for collection purposes.

Cost Basis

The Company cannot provide cost basis information. Shareholders should consult their tax advisors. Information regarding the 1997 stock split and the tax treatment of the 1989 reorganization is available from the transfer agent.

Unclaimed Property

Under state unclaimed property laws, dividends and shares for which there has been no shareholder contact for a specified period may be transferred to the state. To avoid escheatment, please keep your address current with the transfer agent and cash dividend checks promptly.

Annual Meeting

The 2026 Annual Meeting of Shareholders was held on May 14, 2026 at the Company's offices in Perttula, Texas. Shareholders wishing to attend a future meeting in person should note that access to Company property at Perttula requires advance registration.
